  • "Products" means lubricants, oils, fluids, and related consumables
  • "Services" means delivery, technical support, and related services
  • "Contract" means the agreement between the Company and Customer

3. Orders and Quotations

3.1 Quotations

  • All quotations are valid for 30 days unless otherwise stated
  • Prices are subject to change without notice
  • Quotations are not binding until acceptance by the Company

3.2 Orders

  • Orders must be placed in writing (email, fax, or post)
  • Orders are subject to acceptance by the Company
  • The Company reserves the right to refuse any order
  • Minimum order values may apply

  • Products will conform to manufacturer specifications
  • Technical data sheets are available on request
  • Customer is responsible for product suitability

4. Pricing and Payment

  • Prices are quoted excluding VAT unless stated otherwise
  • Delivery charges may apply
  • Prices may vary based on order quantity and delivery location

4.2 Payment Terms

  • Payment terms are typically 30 days from invoice date
  • New customers may require payment on delivery or pro forma
  • Credit accounts are subject to credit approval
  • Interest may be charged on overdue accounts

4.3 Payment Methods

  • Bank transfer (preferred method)
  • Credit/debit cards
  • Cash on delivery
  • Cheque (subject to clearance)

5. Delivery

5.1 Delivery Terms

  • Delivery times are estimates and not guaranteed
  • Risk passes to Customer upon delivery or collection
  • Customer must inspect products upon delivery
  • Any delivery damage must be noted on delivery receipt

5.2 Delivery Areas

  • Same-day delivery available in Midlands region
  • UK-wide delivery typically 3-5 working days
  • Delivery charges vary by location and order size
  • Emergency delivery available (surcharges apply)

5.3 Failed Deliveries

  • Redelivery charges may apply for failed deliveries
  • Customer must provide accurate delivery information
  • Storage charges may apply for refused deliveries

6. Returns and Refunds

6.1 Returns Policy

  • Products may only be returned with prior written consent
  • Returns must be in original, unopened containers
  • Restocking charges may apply
  • Custom-blended products cannot be returned

6.2 Defective Products

  • Defective products will be replaced free of charge
  • Claims must be made within 7 days of delivery
  • Product samples may be required for investigation
  • Liability limited to product replacement value

7. Health and Safety

7.1 Safety Information

  • Safety Data Sheets (SDS) provided with all products
  • Customer responsible for safe handling and storage
  • Appropriate PPE must be used when handling products
  • Comply with all relevant health and safety regulations

7.2 Environmental Responsibility

  • Waste oil collection service available
  • Empty containers should be disposed of responsibly
  • Comply with environmental regulations

8. Liability and Insurance

8.1 Limitation of Liability

  • Company liability limited to invoice value of products
  • No liability for consequential or indirect losses
  • Customer responsible for product suitability
  • Time limit of 12 months for claims

8.2 Insurance

  • Company maintains appropriate business insurance
  • Product liability insurance in place
  • Customer advised to maintain appropriate insurance

9. Intellectual Property

  • All trademarks and copyrights remain with respective owners
  • Product formulations are proprietary to manufacturers
  • Technical information provided for guidance only
  • Customer may not reverse engineer products

10. Force Majeure

The Company shall not be liable for any failure to perform due to circumstances beyond its reasonable control, including:

  • Acts of God, natural disasters, or extreme weather
  • Government actions, regulations, or restrictions
  • Industrial disputes, strikes, or labour shortages
  • Supplier failures or material shortages
  • Transport disruptions or infrastructure failures

11. Data Protection

  • Data shared only with authorised parties
  • Retention periods comply with legal requirements

12. General Terms

12.1 Governing Law

These terms are governed by English law and subject to the jurisdiction of English courts.

These terms constitute the entire agreement between the parties and supersede all prior agreements.
